Disclosures

Effective Date: October 30, 2026

This page explains Slatewood Capital’s role in evaluating land opportunities, contract assignments, and potential joint ventures. Please review it before submitting property information or participating in a proposed transaction.

01

Our Role

Slatewood Capital sources and evaluates residential land and development opportunities for potential contract assignments and joint ventures with builders, developers, investors, and acquisition partners.

Slatewood Capital is not a licensed real estate brokerage and does not represent property owners, buyers, or other participants in a brokerage capacity. Submitting an inquiry does not appoint Slatewood as your agent or representative.

Slatewood’s role, contractual interest, responsibilities, and compensation in any accepted transaction will be established through the applicable written agreements.

02

Contract Assignments and Property Ownership

An interest in a purchase agreement is different from ownership of the underlying property. Slatewood does not represent that it holds legal title to a property merely because it evaluates, discusses, or presents a related opportunity.

When Slatewood offers an assignment of its contractual interest, the interest being offered is the interest in the purchase agreement, rather than legal title to the property. The nature of that interest and any required disclosures will be provided in writing for the particular transaction.

An assignment or closing remains subject to the underlying contract, applicable requirements, required consents, and the parties’ executed agreements.

03

Contracted JV Deal Submissions

The JV deal submission portal is reserved for off-market properties under a current purchase agreement signed by the seller and buyer. Submissions must come from the contract holder or a person authorized by the contract holder.

Slatewood is not acting as the principal purchaser through this submission process. A submission is a request for evaluation and does not establish that Slatewood will purchase the property, provide capital, locate an end buyer, or complete the transaction.

Preliminary opportunities that are not under contract should be emailed to acquisitions@slatewoodcap.com.

04

Submission Does Not Create an Agreement

Submitting information, receiving a reference number, or receiving an acknowledgment does not:

  • Constitute acceptance or approval of an opportunity.
  • Create a purchase agreement, assignment, joint venture, agency relationship, or exclusive arrangement.
  • Authorize Slatewood to market the property or contractual interest.
  • Establish compensation, fee sharing, or reimbursement rights.
  • Commit Slatewood or another party to purchase, fund, develop, or close.

Any collaboration requires a separate written agreement signed by the appropriate parties. Unless expressly agreed in writing, submission does not pause contractual deadlines or transfer responsibility for meeting them to Slatewood.

05

Accuracy and Authority to Submit

Submitters are responsible for providing accurate information and identifying material uncertainties, restrictions, and changes.

By submitting a property or transaction package, you confirm that you are authorized to provide the information and documents for review. Disclose your role, the contract holder’s identity, other intermediaries involved, and any known assignment restrictions or consent requirements.

Clearly distinguish verified facts from estimates or proposed development concepts. Notify Slatewood promptly if the contract status, price, closing date, or other material terms change.

06

Property Information and Due Diligence

Property descriptions, maps, parcel boundaries, acreage, pricing, comparable sales, utility information, floodplain information, zoning references, and development concepts may come from third parties or preliminary research. They may be incomplete, inaccurate, or subject to change.

A property’s inclusion in a submission or discussion does not establish that it is buildable, entitled, accessible, served by adequate utilities, free of title defects, or suitable for a particular use.

Each participant is responsible for conducting appropriate independent due diligence and obtaining qualified professional advice. Relevant matters may include title, survey, access, utilities and capacity, drainage, flood risk, environmental conditions, deed restrictions, subdivision requirements, permits, and development approvals.

07

Pricing and Compensation

Any preliminary price, valuation range, proposed spread, or projected outcome is an estimate unless incorporated into an applicable executed agreement. An asking price does not establish market value or guarantee an end buyer’s willingness to purchase.

Slatewood may receive assignment consideration or an agreed share of transaction proceeds under a separate written agreement. Compensation, expense allocations, and payment conditions must be established in writing. Submitting an opportunity alone does not create an entitlement to payment.

08

Timing and Closing

Review periods, response targets, and proposed closing dates are estimates unless expressly established in an executed agreement.

Closing may depend on title clearance, due diligence, required consents, financing or available funds, document execution, and other transaction conditions. Slatewood does not guarantee an offer, a closing date, or completion of any proposed transaction.

09

Documents and Information Sharing

Submitted information is handled in accordance with our Privacy Policy. Where appropriate for evaluating or coordinating a transaction, information may be shared with relevant builders, acquisition partners, title companies, attorneys, and other authorized participants.

Submitting a document for review does not, by itself, authorize its public advertising or publication. Any public marketing requires appropriate authority and agreement.

Provide only documents you are authorized to share. Redact unnecessary sensitive information, including Social Security numbers, bank account details, and identification documents. Any additional confidentiality requirements should be established through a separate written agreement.

10

No Professional Advice or Investment Offer

Website content and general communications are provided for informational purposes. They do not constitute legal, tax, accounting, engineering, surveying, or investment advice.

References to capital partners, joint ventures, or potential returns do not constitute a public offer to sell securities or a solicitation to invest. Any proposed investment arrangement would require separate documentation and review of applicable requirements. No return, profit, or investment outcome is guaranteed.

11

Applicable Agreements and Requirements

This page provides general information about Slatewood’s activities. It does not amend an executed agreement or replace property-specific, transaction-specific, or jurisdiction-specific disclosures.

Transaction rights and obligations are governed by the applicable executed agreements and applicable law.
